1. Acceptance of these terms
These Terms of Service (“Terms”) govern your access to and use of aviritech.com, the demo websites under aviritech.com/demos and any content made available on them (together, the “Website”), operated by Aviritech Limited (“Aviritech”, “we”, “us” or “our”).
By using the Website you agree to these Terms. If you do not agree, please do not use the Website. If you use the Website on behalf of an organisation, you confirm that you are authorised to accept these Terms for it.
2. The Website and our paid services
The Website describes Aviritech's software, including our HRMS, inventory, point-of-sale, hotel management and CRM products, and showcases work we have built. It is provided for general information only.
Our software and professional services are supplied only under a separate written agreement, order form or statement of work (“Customer Agreement”). If a Customer Agreement conflicts with these Terms, the Customer Agreement prevails for the services it covers.
3. Information, pricing and demos
We try to keep the Website accurate and up to date, but features, specifications, availability, timelines and results described on it may change and are not guaranteed. Case studies and statistics describe past or illustrative outcomes and do not promise that you will achieve the same results.
Prices shown on the Website are indicative, may exclude taxes, and do not form an offer capable of acceptance. Pricing is confirmed only in a written quote or Customer Agreement.
The demo websites are showcases. All businesses, people, products, prices, records and reviews in them are fictional, and bookings, payments, prescriptions, uploads and messages are simulated. Nothing in a demo is medical, pharmaceutical, financial, legal, tax, property or other professional advice, and you must not rely on it as such. Do not enter real personal, health or payment information into a demo.
4. Acceptable use
You agree not to:
- use the Website in any way that breaks the law or infringes anyone's rights;
- attempt to gain unauthorised access to the Website, our systems or other users' data;
- introduce viruses, malware or other harmful code, or disrupt or overload the Website;
- scrape, crawl or copy the Website at scale, other than by standard search engines;
- reverse engineer, copy or resell our demos, designs or code;
- send spam, or impersonate Aviritech or anyone else.
We may suspend or block access to the Website at any time, without notice, if we reasonably believe these Terms have been broken.
5. Intellectual property
The Website and everything on it, including text, designs, graphics, logos, product names, demos, software and code, is owned by Aviritech or its licensors and protected by intellectual property laws. Except for viewing and sharing links to the Website for your own business evaluation, no licence or right is granted to you.
Third-party names and trademarks shown on the Website belong to their owners and do not imply endorsement.
6. Your messages and feedback
You are responsible for the information you send us and confirm that you have the right to share it. If you give us ideas, suggestions or feedback, you agree we may use them freely, without obligation or payment to you. Our handling of personal information is described in our Privacy Policy.
7. Third-party websites and services
The Website may link to or rely on services we do not control, such as font providers and external websites. We are not responsible for their content, availability, security or practices, and your use of them is at your own risk and subject to their terms.
8. Disclaimer of warranties
To the fullest extent permitted by law, the Website is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Website will be uninterrupted, timely, secure, error-free or free of viruses or other harmful components. You use the Website at your own risk and are responsible for protecting your own devices and data.
9. Limitation of liability
To the fullest extent permitted by law, Aviritech and its directors, employees, contractors, agents and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any loss of profits, revenue, business, goodwill, data or anticipated savings, arising out of or in connection with the Website or these Terms, however caused, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if we were told such loss was possible.
Any other liability we may have to you arising out of or in connection with the Website or these Terms, and the amount of it, will be as agreed in writing between you and Aviritech following good-faith discussion, or as set out in any applicable Customer Agreement.
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for fraud or for death or personal injury caused by negligence. Liability under a Customer Agreement is governed by that agreement.
10. Indemnity
You agree to indemnify and hold harmless Aviritech and its directors, employees, contractors and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from your misuse of the Website, your breach of these Terms, or your violation of any law or the rights of a third party.
11. Changes to the Website and these Terms
We may change, suspend or discontinue any part of the Website at any time without notice or liability. We may also update these Terms; the “last updated” date at the top shows when they last changed. Your continued use of the Website after changes take effect means you accept the updated Terms.
12. Events outside our control
We are not responsible for any delay or failure caused by events beyond our reasonable control, including power or internet outages, failures of hosting or telecommunications providers, cyber attacks, natural disasters, strikes, civil unrest or government action.
13. Governing law and disputes
These Terms and any dispute arising from them or the Website are governed by the laws of the Federal Republic of Nigeria. You agree to first contact us at info@aviritech.com and try to resolve any dispute informally for at least 30 days. If it is not resolved, the courts of the Federal Capital Territory, Abuja, Nigeria will have exclusive jurisdiction, unless the law of your country of residence gives you a mandatory right to bring proceedings elsewhere.
14. General
- If any part of these Terms is found invalid or unenforceable, it will be applied to the maximum extent permitted and the rest will remain in effect.
- If we do not enforce a right, that is not a waiver of it.
- You may not transfer your rights under these Terms. We may transfer ours, for example as part of a reorganisation or sale of our business.
- These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Website.
15. Contact us
